Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 10 May 2023 – During today's meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-bank financial markets - insurance, capital market and private pensions, as follows:

A)  Regulation

Regulation on depository receipts based on shares issued by a company established in a Member State or in a third country, as well as amending and supplementing ASF Regulation no. 4/2013 on underlying shares for depository receipts (the regulation will be sent for publication to the Official Journal of Romania);

Rule amending and supplementing Rule no. 11/2011 on the investment and valuation of private pension fund assets, approved by the Decision of the Private Pension System Supervisory Commission no. 22/2011 (the rule will be sent for publication to the Official Journal of Romania).

B) Authorisation

Authorisation of Mr. Nicolae Pascu as a member of the Board of Directors of STK Financial AFIA S.A., following his appointment for a new mandate;

Approval of Mr. Klaus Scheitegel for a new mandate as member of the Supervisory Board of Grawe România Asigurare S.A.;

Approval of amendments to the Articles of Incorporation of D&CA Insurance Broker S.R.L. (new mandates for directors);

Approval of the EU prospectus for the increase of the share capital of Bucovina S.A. Scheia;

Approval of the withdrawal from trading and delisting from the ASF records of the shares issued by Clujana S.A. Cluj-Napoca, in view of the opening of the simplified insolvency proceedings (bankruptcy);

Approval of the request for approval of the amendment to the Management contract for the Voluntary Pension Fund BCR Plus, managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for prior approval of the amendment to the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund BCR Plus, managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.
