Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 20 November 2023 - At today’s meeting, the Council of the Financial Supervisory Authority (A.S.F.) adopted measures on the functioning of supervised non-bank financial markets - insurance, capital market and private pensions, as follows:

A)  Regulation

Draft regulation for amending and supplementing the Regulation of the Financial Supervisory Authority no. 10/2017 on central depositories issued in application of Regulation (EU) no. 909/2014 of the European Parliament and of the Council of 23 July 2014 on improving securities settlement in the European Union and on central securities depositories and amending Directives 98/26/EC and 2014/65/EU and Regulation (EU) No 236/2012 (The draft will be published on www.asfromania.ro, for public consultation, for 10 days).

B)  Authorisation

Approval of the authorization of Mr. Tănase Adrian as director of the market operator Bursa de Valori București S.A. following the extension of the mandate;

Approval of Mrs. Ionica Băniceru as Deputy General Manager of Allianz-Țiriac Unit Asigurări S.A.;

Approval of Mrs. Peride Maria-Florentina as General Manager of L.M.C. Asig Broker de Asigurare S.R.L.;

Approval of the request of Lion Capital S.A. for a 2-year extension of the maximum auditing period of 5 consecutive years by the current financial auditor Deloitte Audit S.R.L., respectively for the financial statements of the company for the years 2024 and 2025;

Approval of the prospectus consisting of separate documents, related to the primary public offer for sale bonds issued by Bittnet Systems S.A., carried out for admission to trading on the regulated market administered by Bursa de Valori București S.A.;

Approval of the new indirect significant associate and the modification of the structure of the associates of Marsh Broker de Asigurare-Reasigurare S.R.L.;

Approval of the withdrawal, upon request, of the authorization as a program provider and the deregistration from the Register of program providers of the Association of Professionals in the Settlement of Damages;

Approval of the modification of the share capital and authorization of the modification of the Memorandum of Association of BT Pensii - Societate de Administrare a Fondurilor de Pensii Facultative S.A.;

Approval of the request for approval of the amendment of the individual Act of accession to Fondul de Pensii Administrat Privat BCR (Privately Managed Pension Fund BCR), managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for authorization of the amendment of the individual Act of accession to Fondul de Pensii Facultative BCR Plus (Voluntary Pension Fund BCR Plus), managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for prior approval of the modification of the Prospectus of the voluntary pension scheme for Fondul de Pensii Facultative BRD Medio (Voluntary Pension Fund BRD Medio), managed by BRD Societate de Administrare a Fondurilor de Pensii Private S.A;

Approval of the request for approval of the modification of the Prospectus of the private pension scheme Fondul de Pensii Administrat Privat NN (Privately Managed Pension Fund NN), managed by NN Pensii Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Approval of the request for approval of the modification of the Prospectus of the private pension scheme for Fondul de Pensii Administrat Privat BRD (Privately Managed Pension Fund BRD), managed by BRD Societate de Administrare a Fondurilor de Pensii Private S.A.
