Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 11 December 2024 – At today's meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-banking financial markets - insurance, capital market and private pensions, as follows:

1. Regulation

Rule amending and supplementing ASF Rule no. 4/2018 on the management of operational risks generated by IT systems used by entities authorized/approved/registered, regulated and/or supervised by the Financial Supervisory Authority (the rule will be submitted for publication to the Official Journal of Romania);

Draft Regulation amending and supplementing the Financial Supervisory Authority Regulation no. 19/2021 on reporting and transparency obligations in the private pension system (the draft will be published on www.asfromania.ro, for public consultation, for 30 days);

Draft Rule on the rates of contributions payable by insurers to the Insurers' Guarantee Fund (the draft will be published on www.asfromania.ro for public consultation for 10 days).

1. Authorisation

Approval of the authorization of Mr. Tănase Adrian as director of the market operator Bursa de Valori București S.A., following the granting of a new mandate;

Approval of the request of the Investment Management Company Patria Asset Management S.A. regarding the authorization of Mr. Răzvan Florin Pașol as member of the Board of Directors, following his appointment for a new mandate;

Approval of the authorization of Ms. Buicănescu Silvia and Mr. Manole Ionuț as directors of Depozitarul Central S.A., following the company's alignment with the provisions of Regulation no. 20/2021 for the amendment and completion of Regulation no. 1/2019 and Law no. 126/2018 on the markets in financial instruments, as amended and supplemented by Emergency Ordinance no. 71/2024;

Approval of Mrs. Anca Bugeanu for a new mandate as member of the Board of Directors of Allianz - Țiriac Asigurări S.A.;

Approval of Mr. Marian-Ionel Bacheș as executive member of the Board of Directors of Garanta Asigurări S.A.;

Approval of Mrs. Iuliana-Delia Condunina in the position of executive manager of Ivas Broker de Asigurare S.R.L.;

Approval of a new mandate of the executive manager and of the amendments to the Articles of Incorporation of Asigest Broker de Asigurare-Reasigurare S.A. (new mandates of directors);

Approval of the request for the authorization of Mrs. Florina Niculescu as the person in charge of the internal control structure within Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request of Infinity Capital Investments S.A. for the authorization of Mr. Sorin-Iulian Cioacă and Mr. Mihai Trifu as members of the Senior Management of the company following their appointment for a new mandate;

Approval of the requests of OTP Asset Management Romania S.A.I. S.A. regarding the authorization of the change in the company's organization and functioning as a result of the change in the composition of the Supervisory Board;

Authorization of the change in the organization and functioning of the financial investment services company Share Invest S.A. as a result of the share capital increase;

Approval of the request by BT Asset Management SAI S.A. to authorize the amendments to the Rules of the BT Property Alternative Investment Real Estate Fund;

Approval of the prospectus drawn up for the admission to trading on the regulated market managed by BVB of the bonds issued by Autonom Services S.A. Piatra-Neamț and the issuance of the Registration Certificate of the issued bonds;

Approval of the EU prospectus for the increase of the share capital of Prodlacta S.A. Brasov;

Approval of the request of Impetum Property Management S.R.L. to withdraw the certificate certifying its registration and entry in the ASF Register as an alternative investment fund administrator;

Approval of the withdrawal from trading of the shares issued by the company Sinterom S.A. Cluj and removal from the ASF's records, in view of the finalization of the procedure for the withdrawal of shareholders in accordance with Article 44 of Law no. 24/2017 republished, as amended and supplemented;

Approval of the withdrawal from trading of the shares issued by the company Brikston Construction Solutions S.A. Iași and removal from the ASF's records, in view of the completion of the procedure for the withdrawal of shareholders in accordance with Article 44 of Law no. 24/2017 republished, as subsequently amended and supplemented;

Approval of the withdrawal from trading and deletion from the ASF's records of the shares issued by the company Organe de Asamblare S.A. Brasov, in view of the opening of bankruptcy proceedings;

Approval of the amendment to Article 7.9 of the Articles of Incorporation of D&CA Insurance Broker S.R.L.;

Approval of the amendment to Article 20.8 of the Articles of Incorporation of Raiffeisen Broker de Asigurare-Reasigurare S.R.L. (appointment of a new director);

Approval of amendments to the Articles of Incorporation of Baldor Insurance Broker S.R.L. (identification data of the partner/director, amendment of the preamble and articles 18.2, 18.3 and 18.4, deletion of article 18.5);

Approval of the request for the endorsement of the financial auditor TGS România Assurance & Advisory Business Services S.R.L. in order to carry out the statutory audit of the annual financial statements for privately managed pension funds, voluntary pension funds, occupational pension funds and their administrators;

Approval of the request for the endorsement of the request for the amendment of the Private Pension Scheme Prospectus for the BCR Private Managed Pension Fund, managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for prior approval of the request for prior approval of the amendment of the Prospectus of the voluntary pension scheme for the BCR Plus Voluntary Pension Fund, managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for prior approval of the amendment to the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund AZT Moderato, managed by Allianz-Țiriac Pensii Private Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for prior approval of the amendment of the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund AZT Vivace, managed by Allianz-Țiriac Pensii Private Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for prior approval of the amendment of the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund NN Activ, managed by NN Asigurări de Viață S.A.;

Approval of the application of Decalex Digital S.R.L. for inclusion in the List of external IT auditors kept by the Financial Supervisory Authority.
