Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 3 December 2025 – At today's meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures regarding the functioning of supervised non-bank financial markets – insurance, capital markets, and private pensions, as follows:

A)  Regulation

Draft Rule for the application of the Guidelines on outsourcing to cloud service providers (ESMA Guidelines 65-294529287-4737) (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Rule for the application of:

- ESMA Guidelines specifying the circumstances for applying temporary restrictions in the event of a significant situation that does not involve a default, in accordance with Article 45a of Regulation (EU) No 648/2012 of the European Parliament and of the Council of 4 July 2012, on OTC derivatives,

- ESMA Guidelines on the consistent application of triggers for the use of early intervention measures;

- ESMA Guidelines on the application of circumstances under which a CCP is deemed to be failing or likely to fail.

The draft will be published on www.asfromania.ro for public consultation for a period of 10 days.

Approval of the draft Rule on the contribution rates owed by insurers to the Policyholders Guarantee Fund (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Rule amending and supplementing Rule No. 7/2007 on the prospectus for private pension schemes, approved by Decision No. 26/2007 of the Private Pension System Supervisory Commission (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Rule amending and supplementing Rule No. 22/2016 of the Financial Supervisory Authority on the authorisation to establish pension companies and the authorisation to manage privately managed pension funds (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Rule amending and supplementing Financial Supervisory Authority Rule No. 23/2016 on the authorisation to establish pension companies and the authorisation to manage voluntary pension funds (the draft will be published on www.asfromania.ro for public consultation for 10 days).

B)  Authorisation

Approval of Mrs. Cristina Pieleanu as a non-executive member of the Board of Directors of Onix Asigurări S.A.;r

Approval of the application of the financial investment services company Tradeville S.A. to authorise the change in the company's organization and operation, following the increase in share capital;

Approval of the application of the financial investment services company Interdealer Capital Invest S.A. for the authorisation of the change in its organisation and operation following an increase in share capital;

Approval of the application by S.A.I. Broker S.A. for the authorisation of the changes to the rules of the private equity alternative investment fund Alpha Invest;

Approval of the application by the investment management company Muntenia Invest S.A. for the authorisation of the changes made to the Articles of Incorporation of Longshield Investment Group S.A.;

Approval of the request for approval of the amendment to the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund BCR Plus, managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application for the approval of the amendment to the Management Agreement for the Privately Managed Pension Fund NN, managed by NN Pensii Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Approval of the application for the approval of the amendment to the Prospectus of the private pension scheme for the Privately Managed Pension Fund NN, managed by NN Pensii Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.
